In the process of incorporation of a Company, several documents are required to be attached in the incorporation forms. The specific documents may vary depending upon the type of Company i.e., Private, Public or Section 8 Company. However, the common documents required in the process of incorporation of a Company are listed below.

1, Documents required for Directors

  • Aadhaar Card: The Aadhaar card should be Self-attested. The address of the proposed Directors needs to be verified and for that purpose Aadhaar Card is required. The other documents accepted as address proof are Voter Identity Card, ration Card, Passport, Driving License, Postpaid Bill, Bank Statement and Electricity Bill.
  • PAN Card: The self-attested PAN Card is required as identity Proof.
  • Passport size photo
  • Specimen signature of any one Director acting as Authorised Representative (Specified Format): The specimen signatures are required for Employees’ Provident Fund Organisation registration.
  • Details of Shareholding/interest in other Companies/LLPs. The interest of Directors in other Companies or LLPs in the form of shareholding or as partners is to be disclosed for the purpose of being appointed a Director.
  • Consent to act as Director: The proposed Directors are required to give their consent for being appointed as Director.

2. Documents required for Shareholders

  • Aadhaar Card. Self-attested aadhaar card is to be given as address proof.
  • PAN Card. Self-attested PAN card is to be given as identity proof.
  • Driving License (Self-attested)
  • Passport size photo

3. Documents required for Company

  • Utility Bill: The utility bill should not be older than 2 months. It is required as proof of registered office of the Company. The documents which may be attached as utility bill are Gas bill, water bill, electricity bill, postpaid bill, bank statement.
  • NOC from the owner of the premises for use of the premises as Registered Office. NOC is required to be given by the person in whose name utility bill has been provided.
  • Detailed Main objects and ancillary objects. The detailed objects are required to be entered in the form e-MOA.

4. Additional documents required for Section-8 Company

  • Projected Profit & loss Statement for next Three years. This is to be signed by the Promoters.
Note:

There are some documents which are not required to be attached in the incorporation forms. The list of such documents is given below.

  1. INC-14: The declaration by an Advocate, a Chartered Accountant, Cost Accountant or Company Secretary in practice, that  the Memorandum and Articles of Association have been drawn up in conformity with the provisions of section 8 and rules made thereunder and that all the requirements of the Act and the rules made thereunder relating to registration of the company under section 8 and matters incidental or supplemental thereto have been complied with.
  2. INC-15: The declaration by each of the persons making the application that the Memorandum and Articles of Association have been drawn up in conformity with the provisions of section 8 and rules made thereunder and that all the requirements of the Act and the rules made thereunder relating to registration of the company under section 8 and matters incidental or supplemental thereto have been complied with.
