Now, we will explain you in brief about the above categories for better understanding:
1. Details Required:
The following details shall be available while proceeding with incorporation:
- Name and Object of proposed Company;
- Full Address of registered office and correspondence address; E-mail ID, Telephone Number, Fax Number, if any of the proposed company;
- Authorized and Subscribed Capital of the company;
- Basic details of subscribers and First Directors such as their Name, Father`s Name, Date of Birth, Pan Card Number/ Aadhar Card Number/DL/Passport Number, Nationality, Occupation, Place of Birth, Residential Status, E-mail ID, Telephone Number, Present Address, Permanent Address, Duration of Stay at present address, Number of Shares Subscribed and designation and category of First Directors.
- Information specific to PAN such as Area Code, AO Type, Range Code, AO Number. etc;
- Information specific to TAN such as Area Code, AO Type, Range Code, AO Number. etc for allotment of TAN of Company;
- Specimen Signature of employers [viz. Directors] for EPFO;
- Passport size photos of all first directors.
2. Steps involved:
- Procurement of Digital Signature of directors
- Registering Directors on V3 Portal as “Business User” and associate DSC thereafter
- Filing of Spice+ Part A name Approval
- Filing of Spice+ Part B name Approval
- Filing of FORM INC-33 (e-MOA)
- Filing of FORM INC-34 (e-AOA)
- Filing of E- Forms INC-9
- Filing of E-Form INC-35 AGILE –PRO-S
3. Forms and their attachments:
- Procurement of Digital Signature of directors:
Apply for the digital signature of the Proposed directors.
- Spice+ Part A name Approval:
An application for name approval of the company should be first submitted to the MCA to reserve the name of the company by Form spice part A with the object of the company in brief.
Please keep in mind below mentioned factors while applying to reserve the name:
- The name should be unique. In this form, 1 or 2 names of the company can be proposed.
- However, if the applicant is sure about the name being applied is unique and not similar/identical with existing company, the applicant can directly proceed to incorporation application in form Spice Part B.
- Filing of Spice+ Part B:-
- Basic details of the company are filled in this form.
Attachments to this form:
- Copy of utility bill
- NOC or Rent agreement for using the business premises.
- Proof of Identity and Proof of residence (in case of director does not have valid DIN)
- Filing of FORM INC-33 (e-MOA):
This form contains the following particulars/information:
- Name of the Company
- Name of the State in which Registered Office of the Company is to be situated;
- Liability of the members of the company (Whether Limited by Shares/Limited by Guarantee/Unlimited)Share Capital of the Company;
- Name, Father`s Name, Address, Description and Occupation of Subscribers of MOA and witness;
- Filing of FORM INC-34 (e-AOA):
This form contains regulations for management of the company.
- Filing of E- Forms INC-9:
Declaration by First Directors and subscribers is filed by this form. No document is attached in this form. This form is filed only after affixing DSC of first directors/subscribers.
- Filing of E-Form INC-35 AGILE –PRO-S:
Application for registration under Goods and Service Act, 2016 (GST), PF Registration, ESI Registration and Opening of Bank Account is made through this form.
4. Statutory Fees:
- For Spice Part A- The fees of Filing spice part A is Rs 1000.
- For spice part B-Fees for filing spice part B depends upon the share capital of the company.
